HYST Holdings Ltd

Terms & Conditions

The legal framework for booking private estates through Estates for Weddings.

Scope & Nature of Our Service

Through our online platforms and promotional channels, Estates for Weddings, trading under HYST Holdings Ltd (the "Agent", "Agents", or "Agency"), provides an online intermediary and marketing platform through which private estate owners (the "Owners") can advertise, market, promote, and offer their property (the "Property" or "Venue") for wedding reservations, site buyouts, filming, and private events. Potential venue bookers (the "Guest" or "Client") and their invited attendees, vendors, and party members (the "Event Attendees") can discover, evaluate, and reserve these locations.

By submitting a reservation or signing an event booking agreement, you enter into a legally binding contractual relationship directly with the Owner of the reserved Property. From the point of reservation, the Agent acts solely as an intermediary between you and the Owner, transmitting event details and issuing booking confirmations for and on behalf of the Owner. The Agent does not own, operate, or directly lease any Property unless explicitly stated in writing.

Website materials, portfolios, and promotional content do not constitute a guarantee of the quality, site capacity, or qualification of any Property. All services provided on our platform are for direct client use; content, photography, and listings may not be copied, reproduced, or used for competing commercial platforms without prior written consent from HYST Holdings Ltd.

By confirming a venue booking, the Guest confirms that they have read, understood, and accepted these Terms & Conditions on behalf of themselves, their planning team, and all Event Attendees.

Booking, Event Authorization & Payments

Age & Authority: The Guest making the booking must be at least 18 years of age and authorized to execute this agreement on behalf of the event host and attendees.

Event Disclosure & Guest Counts: The Guest must specify in writing the exact scope of the event, maximum guest count (including daytime/evening visitors), list of third-party vendors (caterers, decor, sound, lighting), and whether the party consists of resident or non-resident attendees in Kenya/East Africa (where applicable for conservancy or estate fees).

Communication: All binding booking communications, schedule changes, and financial confirmations must be conducted in writing via email. Communications via social media platforms, SMS, or instant messaging are non-binding.

Payment Schedule: A 50% Deposit of the total invoice cost is required to lock in dates and secure the Venue. The remaining 50% Balance must be paid no later than 30 days prior to the event commencement date. Bookings made less than 30 days before the event require 100% payment upon invoice issuance. All payments for a single booking must originate from a single source/Guest in no more than two installments.

Currencies & Methods: Payments are accepted via Bank Transfer, M-Pesa, or approved Credit/Debit Cards (subject to a 3.75% processing surcharge). Cash and cheques are not accepted. The Guest is responsible for all incoming bank charges and foreign exchange transfer fees.

Venue Use & Event Rules

Approved Access: Use of the Property, grounds, and listed structures is strictly restricted to the headcount and scope declared at the time of booking. Hosting unauthorized attendees, day guests, or unvetted external vendors without prior written authorization from the Agent and Owner is strictly prohibited and may incur immediate surcharges or event termination.

Curfews & Sound Limits: Sound levels, live music, amplifiers, and event end-times must strictly adhere to local estate bylaws, municipal rules, and specific Owner covenants communicated during booking.

Indemnity & Security Deposits: The Agent and Owner reserve the right to require the Guest to sign an explicit event indemnity form and pay a refundable Security/Damage Deposit prior to granting site access.

Changes & Cancellation

Changes requested by Guest: Any requests to alter event dates, guest numbers, setup access hours, or vendor access must be submitted in writing. Date changes are treated as a cancellation of the initial booking unless explicitly agreed otherwise by the Owner.

Cancellation Charges: Cancellations made more than 30 days prior to the event retain 50% of the total invoice cost. Cancellations made 30 days or less prior to the event are 100% non-refundable. If the Owner or Agent agrees to issue a partial refund under extraordinary circumstances, a 5% administrative fee will be deducted alongside any applicable processing fees.

Force Majeure

In the event that the Venue becomes unavailable or unusable due to events beyond reasonable control—including acts of God, extreme weather, civil unrest, fire, flood, loss of power/water supply, government travel bans, or regional emergencies ("Force Majeure")—the Agency will attempt to relocate the event to a comparable venue or reschedule the date. The Agency and Owner shall not be liable for financial compensation, travel expenses, or secondary costs incurred as a result of Force Majeure.

Damages & Client Liability

Property Care: The Guest is fully responsible for maintaining the Property, gardens, structures, and amenities in the state of repair in which they were found.

Vendor & Guest Conduct: The Guest assumes full financial liability for any damage, structural harm, vegetation loss, litter, or excessive mess caused by Event Attendees, wedding planners, caterers, or third-party contractors.

Damage Settlement: Costs to repair damage or clear debris will be deducted directly from the Security Deposit. If damages exceed the deposit amount, the Guest agrees to settle the remaining balance immediately upon invoice receipt.

Limitation of Liability & Health Disclaimer

HYST Holdings Ltd acts solely as a venue marketing and reservation agent. The Agent assumes no liability for personal injury, illness, accident, theft, or property loss suffered by the Guest, vendors, or Event Attendees during site visits or the event itself.

Properties may feature natural terrain, water bodies, swimming pools, unpaved paths, wild or domestic animals, and elevated structures. Attendance at and use of the Venue grounds is undertaken entirely at the risk of the Guest and their attendees.

Insurance Requirement: It is a mandatory condition of booking that the Guest holds comprehensive event and personal liability insurance covering event cancellation, public liability, vendor default, and medical emergencies.
